1. Agreement
These Terms of Service (“Terms”) govern your access to and use of AAiMusic (“Amplified AI Music”), including the website, applications, and services (collectively, the “Service”). The Service is built and supported by NextGenOra (“we,” “us,” or “our”), an AI technology consulting firm. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
AAiMusic provides an AI-powered music creation platform. The Service includes, but is not limited to: generation of music from lyrics and style tags; generation of cover art; a conversational Music Agent to assist with lyrics and ideas; storage of your tracks and projects; and access to subscription tiers with different usage limits and features. We use third-party AI and infrastructure providers to deliver the Service. Availability, quality, and features may change over time.
3. Account and Eligibility
You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or for other reasons we deem appropriate.
4. Usage Limits and Subscriptions
Free and paid tiers are subject to usage limits (e.g., number of music generations, cover generations). Limits are described on the pricing page and may be updated with reasonable notice. Subscription fees are billed in advance (e.g., monthly or annually) via our payment processor. Refunds are handled according to our refund policy and applicable law. You may cancel a subscription before the next billing date; cancellation does not entitle you to a refund for the current period.
5. Your Content and Conduct
You retain ownership of the lyrics, prompts, and other content you submit (“Your Content”). You grant us a limited license to use, process, and store Your Content as necessary to provide and improve the Service (e.g., to generate music, store tracks, and train or improve AI only where permitted by our Privacy Policy and applicable law). You represent that you have the right to submit Your Content and that it does not infringe third-party rights or violate any law. You must not use the Service to create, upload, or distribute content that is illegal, harmful, infringing, defamatory, or that violates our acceptable-use guidelines. We may remove content or suspend access if we reasonably believe it violates these Terms.
6. AI-Generated Outputs
Music, cover art, and other outputs generated by the Service (“Outputs”) are created using AI models. Subject to your subscription tier and these Terms, we grant you a license to use, download, and where your plan permits, use Outputs for commercial purposes. Outputs are provided “as is.” We do not guarantee that Outputs will be free of third-party claims (e.g., similarity to existing works). You are responsible for your use of Outputs and for ensuring that such use complies with applicable law and licensing terms we communicate to you.
7. Intellectual Property
The Service, including its design, branding, software, and documentation, is owned by us or our licensors. You may not copy, modify, reverse-engineer, or create derivative works from the Service except as expressly permitted. The AAiMusic and Amplified AI Music names and logos are our trademarks. Your use of the Service does not grant you any rights in our intellectual property beyond the limited licenses stated in these Terms.
8. Disclaimers
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Use of AI-generated content and the Service is at your own risk.
9. Limitation of Liability
To the maximum extent permitted by law, we and our affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service or these Terms. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred United States dollars (USD 100), whichever is greater. Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the fullest extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless us and our affiliates, officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights or law.
11. Changes to the Service and Terms
We may modify the Service or these Terms at any time. We will notify you of material changes by posting updated Terms on the Service and, where appropriate, by email or in-app notice. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel your subscription.
12. General
These Terms constitute the entire agreement between you and us regarding the Service. No waiver of any term shall be deemed a further waiver of that or any other term. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. These Terms are governed by the laws of the jurisdiction in which NextGenOra operates, without regard to conflict-of-law principles. Any dispute shall be resolved in the courts of that jurisdiction, except where prohibited.
